Terms of Service for Calendara

1. Introduction and Acceptance of Terms
Welcome to Calendara, a calendar event extraction and management platform that helps you create and manage events using AI technology.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Calendara ("Company," "we," "us," or "our") governing your use of the Calendara iOS application, the Calendara website at https://usecalendara.com, and related services (collectively, the "Service").
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
2. Service Description
Calendara is a software-as-a-service (SaaS) platform that provides calendar event extraction, management, and sharing capabilities. Our Service includes, but is not limited to:
- AI-powered event extraction from images, documents, and text
- Calendar creation and event management
- Calendar sharing and subscription functionality
- Integration with third-party calendar services
- Access to your calendars through the Calendara iOS app
The Service is offered as a paid subscription, as described in Section 4.
3. Account Registration and Eligibility
3.1 Account Creation
To use certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself as prompted by the registration form and to maintain and update this information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to:
- Create a strong, unique password
- Keep your account credentials secure
- Not share your account with any third party
- Notify us immediately of any unauthorized use of your account or any other breach of security
3.3 Eligibility
By using the Service, you represent and warrant that:
- You are at least 13 years of age
- If you are under 18 years of age, you have obtained parental or guardian consent to use the Service
- You have the legal capacity to enter into these Terms
- You are not barred from using the Service under applicable law
- You will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations
4. Subscriptions
4.1 Paid Subscription Service
Calendara is offered as a paid subscription. An active subscription is required to use the Service. During early access or promotional periods, we may make some or all of the Service available without charge. Current pricing and any available subscription options (for example, monthly or annual plans, where offered) are presented in the App Store at the point of purchase and on our website.
4.2 Free Trials and Introductory Offers
Where we offer a free trial or introductory price, the terms of that offer are presented in the App Store at the point of purchase. Unless stated otherwise in the offer:
- If a subscription includes a free trial, your Apple Account will be charged for the subscription when the trial ends, unless you cancel at least 24 hours before the end of the trial
- Any unused portion of a free trial is forfeited if you purchase a subscription before the trial ends
- Free trials and introductory offers are limited to one per user unless we state otherwise, and we may modify or withdraw them at any time for future purchases
4.3 Subscription Terms
When you purchase a subscription:
- Subscriptions are purchased as auto-renewing subscriptions through Apple In-App Purchase on your iOS device
- Payment is charged to your Apple Account at confirmation of purchase (or at the end of any free trial)
- Subscriptions automatically renew, and your Apple Account is charged for renewal within 24 hours before the end of the current period, unless you cancel at least 24 hours before the end of the current period
- You can manage and cancel your subscription in your device settings under your Apple Account subscriptions (Settings → your name → Subscriptions) or in the App Store app. Deleting the Calendara app does not cancel your subscription
5. Payment Terms and Billing
5.1 Pricing
Pricing for the Service is shown in the App Store at the point of purchase. Prices may vary by App Store storefront, region, and currency. We may change subscription pricing from time to time; price changes apply prospectively to subsequent billing periods and will be communicated in accordance with Apple's subscription policies, which may include your right to consent before a price increase takes effect. Price changes do not affect the subscription period you have already paid for.
5.2 Payment Processing
All payments for the Service are processed by Apple through Apple In-App Purchase. We use RevenueCat to manage subscription entitlements. We do not collect or store your credit card or bank account details. Your purchase is also subject to Apple's Media Services Terms and Conditions and any other terms Apple applies to App Store purchases. By completing a purchase, you authorize Apple to charge your Apple Account for the subscription and each renewal.
5.3 Billing and Renewal
Billing dates, renewal timing, and payment collection are managed by Apple under your Apple Account. Monthly subscriptions renew each month, and annual subscriptions (where offered) renew each year, from your date of purchase, in accordance with Apple's subscription terms.
5.4 Failed Payments
If Apple is unable to collect payment for a renewal, your subscription may enter a grace period or lapse in accordance with Apple's policies. If your subscription lapses or is canceled, your access to the Service may be suspended until an active subscription is restored. We do not charge late fees.
5.5 Refunds
Because payments are processed by Apple, refunds are handled by Apple and are subject to Apple's refund policies. To request a refund for a purchase made through Apple In-App Purchase, use Apple's refund process at https://reportaproblem.apple.com or contact Apple Support. We are not able to issue refunds directly for purchases made through Apple In-App Purchase.
If you experience a problem with a purchase or your subscription entitlement — for example, you were charged but your subscription features are not active — contact us at support@usecalendara.com and we will help resolve it.
5.6 Taxes
Applicable taxes on purchases made through Apple In-App Purchase are calculated and collected by Apple based on your location and Apple's policies.
6. User Responsibilities and Acceptable Use
6.1 General Rules
When using our Service, you agree not to:
- Use the Service for any illegal purpose
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Interfere with or disrupt the Service
- Attempt to gain unauthorized access to the Service or its related systems
- Transmit any viruses, malware, or other harmful code
- Collect or harvest user data without permission
- Impersonate another person or entity
6.2 Content Guidelines
When uploading content to the Service, you agree not to upload content that:
- Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, or otherwise objectionable
- Infringes any patent, trademark, trade secret, copyright, or other intellectual property or proprietary rights
- Contains software viruses or any computer code designed to disrupt, damage, or limit the functioning of any computer software or hardware
- Constitutes unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," or any other form of solicitation
6.3 API and Integration Usage
If you use our API or integrations:
- You must comply with any applicable API documentation and guidelines
- You must not exceed rate limits or other usage restrictions
- You must secure any API keys and prevent unauthorized access
- We reserve the right to monitor and limit API usage
6.4 Account Usage Limits
To ensure fair use of our resources:
- We may impose usage limits on certain features
- We may throttle excessive usage that negatively impacts other users
- We may limit the number of API calls per account
- We may restrict automated or scripted access to the Service
7. Intellectual Property Rights
7.1 Our Intellectual Property
The Service and its original content, features, and functionality are owned by Calendara and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You may not duplicate, copy, or reuse any portion of the HTML, CSS, JavaScript, visual design elements, or concepts without express written permission from us.
7.2 License to Use the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your personal or internal business purposes.
7.3 Feedback
If you provide us with feedback, suggestions, ideas, or other information related to the Service ("Feedback"), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use the Feedback for any purpose without compensation or attribution to you.
7.4 Copyright Infringement Policy (DMCA)
We respect the intellectual property rights of others and expect our users to do the same. In accordance with the Digital Millennium Copyright Act (DMCA), we will respond to valid takedown notices regarding alleged copyright infringement.
If you believe that content on our Service infringes your copyright, please provide our designated agent with the following information:
- A physical or electronic signature of the copyright owner or authorized agent
- Identification of the copyrighted work claimed to have been infringed
- Identification of the allegedly infringing material and information sufficient to locate it on our Service
- Your contact information (address, telephone number, and email address)
- A statement that you have a good faith belief that use of the material is not authorized by the copyright owner
- A statement that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf

Upon receipt of a valid DMCA notice, we will promptly remove or disable access to the allegedly infringing material. We may also terminate the accounts of users who are repeat infringers.
If you believe your content was removed in error, you may file a counter-notification with the same contact information above, including:
- Your physical or electronic signature
- Identification of the removed material and its previous location
- A statement under penalty of perjury that the material was removed by mistake or misidentification
- Your name, address, and telephone number
- A statement consenting to jurisdiction of the federal court in your district
8. Content and Data Ownership
8.1 Your Content
You retain all ownership rights in the content you upload, submit, or process through the Service ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such User Content solely for the purpose of providing and improving the Service.
8.2 AI-Generated Content
For content generated by our AI systems based on your inputs:
- You own the output generated specifically for you through your use of the Service
- We retain all rights to the underlying AI models, algorithms, and systems
- Extracted event data is your property, but the extraction methodology remains ours
8.3 Calendar Data
Your calendar events, settings, and personalized data belong to you. We only use this data as necessary to provide the Service and as described in our Privacy Policy.
9. Third-Party Services and Integrations
9.1 Third-Party Services
The Service may contain links to or integrate with third-party services, websites, or resources. We use third-party AI services — including Google (Gemini), Anthropic (Claude), and OpenAI (GPT) — to process uploaded images and documents for text extraction. These providers receive your content solely for processing and do not retain it. We are not responsible for the content, privacy practices, or policies of any third-party services and do not endorse them.
9.2 Calendar Integrations
When you connect Calendara with third-party calendar services (such as Google Calendar):
- You authorize us to access, store, and process your calendar data solely to provide the sync functionality, as further described in our Privacy Policy
- Integrations are initiated only by your explicit action in Settings — Calendara will never connect to a third-party service without your consent
- You understand that we are not responsible for the security or privacy practices of those services
- You can revoke integration permissions at any time through Settings inside the app, which immediately revokes access and deletes third-party-sourced data from Calendara
9.3 Google Calendar Integration Specifics
Calendara's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. Full details of the scopes requested, how Google user data is used, what Calendara does not do with Google user data, and retention/revocation policies are provided in Section 4 of our Privacy Policy.
10. Service Availability and Modifications
10.1 Service Availability
While we strive to maintain high availability, we do not guarantee that the Service will be available at all times or without interruption. We are not liable for any downtime, service interruptions, or data loss.
10.2 Modifications to the Service
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. You agree that we will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
10.3 Updates and Maintenance
We may perform maintenance on the Service from time to time, which may result in temporary unavailability. When possible, we will provide advance notice of scheduled maintenance.
11. Termination
11.1 Termination by You
You may terminate your account at any time by following the instructions in your account settings or by contacting us at support@usecalendara.com. Terminating your Calendara account does not automatically cancel an active subscription — cancel your subscription through your Apple Account subscription settings as described in Section 4.3.
11.2 Termination by Us
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:
- Violation of these Terms
- Suspected fraudulent, abusive, or illegal activity
- Non-payment of subscription fees
- Extended periods of inactivity
- Upon request by law enforcement or other government agencies
11.3 Effects of Termination
Upon termination:
- Your access to the Service will be disabled
- Your subscription will be canceled
- We may delete your account data after 30 days
- You will not be entitled to a refund except as specified in our refund policy
- Provisions of these Terms that by their nature should survive termination shall survive
12. Limitation of Liability
12.1 Disclaimer of Certain Damages
To the maximum extent permitted by applicable law, in no event shall we be liable for:
- Any indirect, special, incidental, consequential, or punitive damages
- Loss of profits, data, use, goodwill, or other intangible losses
- Damages relating to your access to, use of, or inability to access or use the Service
- Damages relating to any third-party content or websites
- Damages relating to any unauthorized access to or use of our servers
12.2 Cap on Liability
To the maximum extent permitted by applicable law, our aggregate liability for all claims relating to the Service shall not exceed the greater of (a) $100 and (b) the amounts you paid to us for the Service during the 12 months preceding the claim. The existence of more than one claim does not increase this cap.
12.3 Exclusions
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
13. Disclaimer of Warranties
13.1 "As Is" and "As Available"
The Service is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
13.2 No Warranties
We do not warrant that:
- The Service will function uninterrupted, secure, or available at any particular time or location
- Any errors or defects will be corrected
- The Service is free of viruses or other harmful components
- The results of using the Service will meet your requirements
- The accuracy, reliability, or completeness of any information obtained through the Service
- The accuracy or reliability of AI-generated event data
13.3 AI Processing Disclaimer
Our AI-powered event extraction:
- Is not guaranteed to extract all events or event details correctly
- May incorrectly interpret ambiguous information
- Should be reviewed by you for accuracy before relying on generated events
- Is continuously improving but not perfect
14. Indemnification
You agree to defend, indemnify, and hold harmless Calendara, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your User Content
- Your use of the Service
- Your violation of any rights of another
15. Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
15.2 Informal Dispute Resolution
Before filing a claim against us, you agree to try to resolve the dispute informally by contacting us at support@usecalendara.com. We'll try to resolve the dispute informally by contacting you through email. If a dispute is not resolved within 30 days, you or we may proceed with formal dispute resolution.
15.3 Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, interpretation, breach, or termination thereof, shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Consumer Arbitration Rules.
The arbitration will be conducted in Miami, Florida, unless you and we agree otherwise. Each party will be responsible for paying any AAA filing, administrative, and arbitrator fees in accordance with AAA rules.
15.4 Class Action Waiver
You and we agree that any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis. Neither you nor we will seek to have any dispute heard as a class action, private attorney general action, or in any proceeding in which either party acts or proposes to act in a representative capacity.
15.5 Exceptions
Nothing in this section precludes you from bringing issues to the attention of federal, state, or local agencies, which may seek relief against us on your behalf.
16. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email, through the Service, or by presenting you with the updated Terms when you next use the Service.
Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and us concerning the Service.
17.2 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms must be in writing.
17.3 Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
17.4 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction.

Any notices or other communications permitted or required under these Terms, including modifications to these Terms, will be in writing and given by us:

- By posting to the Service
- By messaging you through the Service
